1. Acceptance of Terms
By accessing or using the We Are Philanthropy platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting.
2. Eligibility
To use the Platform, you must:
- Be at least 18 years of age or the age of majority in your jurisdiction
- Have the legal capacity to enter into a binding agreement
- Not be prohibited from using the Platform under applicable laws
- Provide accurate, current, and complete information during registration
3. Account Registration and Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:
- Create only one account
- Provide accurate and truthful information
- Immediately notify us of any unauthorized use of your account
- Not share your account credentials with any third party
4. Platform Services
The Platform facilitates peer-to-peer donations, organizational fundraising campaigns, and private event contributions. We act solely as an intermediary and do not guarantee the legitimacy of any fundraising campaign, the identity of users, or the use of donated funds.
4.1 Types of Services
- Individual Donations: Direct peer-to-peer donations between users
- Organization Campaigns: Fundraising campaigns created by verified organizations
- Private Events: Private fundraising events (birthdays, weddings, memorials, etc.)
- Wallet Services: Digital wallet for storing and transferring funds within the Platform
- Withdrawal Services: Recipients may withdraw funds to their bank account via Stripe Connect
5. User Conduct
You agree not to:
- Use the Platform for any illegal purpose
- Post false, misleading, or fraudulent content
- Impersonate any person or entity
- Harass, threaten, or intimidate other users
- Attempt to gain unauthorized access to the Platform or other users' accounts
- Use the Platform to launder money or finance illegal activities
6. Donations and Payments
6.1 General Terms
All donations made through the Platform are voluntary and generally non-refundable except in cases of verified fraud. Payment processing is handled by Stripe, Inc., and you agree to comply with their terms of service.
6.2 Platform Tips
Platform tips are optional contributions to support the operation of We Are Philanthropy. Tips are non-refundable.
6.3 Wallet Funds
Funds held in your Platform wallet:
- Are held in Canadian dollars (CAD)
- Are not insured by the Canada Deposit Insurance Corporation (CDIC) or any government agency
- May be subject to holds or restrictions pending verification
- Must be used in accordance with these Terms
6.4 Payment Processing
- Processing fees of approximately 2.9% + $0.30 CAD apply to card transactions
- Standard payouts to bank accounts typically take 2-3 business days
- All transactions are processed in Canadian dollars (CAD)
7. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE PHILANTHROPY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF: (a) the amount you have paid to us in the twelve (12) months preceding the claim; or (b) one hundred Canadian dollars (CAD $100).
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law provisions.
10. Dispute Resolution
Any disputes arising out of or related to these Terms or the Platform shall first be attempted to be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the ADR Institute of Canada Arbitration Rules. The arbitration shall be conducted in Toronto, Ontario.
